As part of its commitment to domestic and international growth in the field of renewable energy, Enda Enerji Holding A.Ş. has taken a significant step toward a new project planned to be implemented in the Braila region of Romania.
Our Company has signed a preliminary agreement (term sheet) with Rencon S.R.L. for the acquisition of all shares in the Romania-based company Zenit Solar S.R.L., which holds a license and land for a 10 MWp Solar Power Plant (SPP) and an Energy Storage System (BESS) with an installed capacity of 10 MWh, for a total consideration of EUR 1.5 million.
As part of the process, a comprehensive financial, legal, and technical due diligence will be conducted over a four-week period. Should the outcome of the due diligence be positive, the share purchase agreement is expected to be signed.
The total investment amount, including the share acquisition cost but excluding VAT, is projected to be approximately EUR 9 million. The equity portion of this amount will be financed using the public offering proceeds, as outlined in Section 28.2 titled “Purpose of the Public Offering and Use of Proceeds” of our prospectus, which was approved by the Capital Markets Board of Turkey on January 23, 2025. This section covers the financing of value-adding investments and acquisitions in the energy sector, both domestically and internationally. The remaining portion of the investment is planned to be financed through cost-effective international funding sources.
This investment is considered a strategic part of Enda Enerji’s growth vision in international markets, and it is expected to contribute to both clean energy production and the expansion of energy storage capacity.
All significant developments regarding this process will continue to be disclosed to our investors and the public via the Public Disclosure Platform (KAP) in accordance with Communiqué II-15.1 on Material Events Disclosure.
